Terms of Service

1. Parties and acceptance
These Terms of Service ("Terms") govern your access to and use of the Regium compliance platform (app.regium.io) and related services operated by Regium Ltd ("Regium", "we", "us").
By creating an account or accessing the platform, you ("Customer") agree to these Terms on behalf of yourself and, where applicable, the legal entity you represent. If you do not agree, do not access the platform.
2. Permitted use
The Regium platform is designed for licensed or licence-seeking financial entities operating under EU or UK regulatory regimes, including MiCA-authorised Crypto-Asset Service Providers (CASPs), Electronic Money Institutions (EMIs), and payment institutions subject to DORA, DAC8/CARF, AMLR, Travel Rule, or MiCA obligations.
You may use the platform solely for your internal compliance operations. You may not resell, sublicense, or provide access to the platform to third parties without Regium's prior written consent.
You must not use the platform to process data in connection with any activity that is illegal under applicable law, or to evade regulatory obligations rather than comply with them.
3. Subscription and payment
Access to the platform is provided on a subscription basis. Subscription fees, tier, and payment terms are set out in your Order Form or subscription agreement.
Subscriptions are billed annually in advance. Payment is due within 30 days of invoice. Late payment may result in suspension of access after 14 days written notice.
Regium may adjust pricing on renewal with 90 days written notice. You may cancel prior to renewal to avoid price changes.
4. Intellectual property
Regium IP. All rights in the platform, including software, algorithms, database schemas, and documentation, are owned by Regium Ltd. These Terms grant you a limited, non-exclusive, non-transferable licence to access and use the platform during your subscription term.
Customer data. You retain all rights in the data you input into the platform. Regium processes your data solely as described in the Data Processing Agreement. Regium does not acquire any rights in your data and will not use it for any purpose other than providing the service.
Feedback. If you provide feedback, suggestions, or ideas about the platform, you grant Regium a perpetual, royalty-free licence to use that feedback without restriction.
5. Warranties and disclaimers
Regium warrants that the platform will perform materially as described in the documentation during your subscription term. If the platform fails to do so, your sole remedy is the correction of the deficiency or, if Regium cannot correct it within a reasonable time, a pro-rata refund of fees for the affected period.
No compliance guarantee. The platform is a tool to assist your compliance team. Regium does not guarantee that use of the platform will result in compliance with any regulatory obligation. Compliance decisions and regulatory submissions remain your responsibility. The platform is not a substitute for legal or regulatory advice.
Except as expressly stated, the platform is provided "as is" without warranty of any kind.
6. Limitation of liability
To the maximum extent permitted by law, Regium's aggregate liability to you for all claims arising out of or in connection with these Terms shall not exceed the total fees paid by you to Regium in the 12 months immediately preceding the claim.
Regium shall not be liable for: (a) indirect, consequential, incidental, or punitive damages; (b) loss of profits, revenue, goodwill, or data; (c) regulatory fines or penalties imposed on you by a supervisory authority; or (d) third-party claims against you.
These limitations apply even if Regium has been advised of the possibility of such damages, to the fullest extent permitted by applicable law.
7. Confidentiality
Each party agrees to keep confidential the other party's non-public business information disclosed in connection with these Terms ("Confidential Information"). Confidential Information does not include information that: (a) is or becomes publicly known through no fault of the receiving party; (b) is rightfully received from a third party; or (c) is independently developed without reference to the disclosing party's information.
Confidential Information may be disclosed if required by law or a competent authority, provided the disclosing party gives the other party advance notice to the extent legally permitted.
8. Term and termination
The initial subscription term is 12 months from the date of your first payment, unless a different term is set out in your Order Form. The subscription renews automatically for successive 12-month periods unless either party gives written notice of non-renewal at least 60 days before the renewal date.
Either party may terminate these Terms immediately on written notice if the other party: (a) commits a material breach that is not remedied within 30 days of written notice; or (b) becomes insolvent, enters administration, or ceases to trade.
On termination, your access to the platform will be disabled. Regium will provide an export of your data in a standard format within 30 days of termination request. Data will be deleted from Regium's systems within 90 days of termination, unless a longer retention period is required by the DPA or applicable law.
9. Governing law and disputes
These Terms are governed by the law of England and Wales. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating formal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for at least 30 days.
10. General
Entire agreement. These Terms, together with your Order Form and the Data Processing Agreement, constitute the entire agreement between you and Regium with respect to the platform.
Amendments. Regium may amend these Terms by posting a revised version at regium.io/terms, with 30 days notice to existing customers by email for material changes. Continued use after the effective date constitutes acceptance.
Severability. If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable. The remaining provisions remain in full effect.
Waiver. Failure to enforce any provision of these Terms is not a waiver of Regium's right to enforce it in the future.
